Villazio Hospitality and registered office located at Sidh, Chs Complex, 25/198, Siddharth Nagar Rd, Opp. Prabodhan Sports Complex, Kumud Nagar, Goregaon, Mumbai, Maharashtra 400062 (hereafter referred to as “Villazio”, “Company” “we”, “us”, or “our”), is engaged in managing, operating, and providing residential accommodations, including villas, bungalows, farmhouses, homestays, service apartments, and/or their individual rooms to guests, primarily for short stays, for recreational purposes, under the brand name “Villazio” (“Services”).

These Terms and Conditions (“Terms”) are applicable to all guests or customers who make bookings for any of the Properties (defined below) or their individual rooms through our website (Site), mobile application (Application), call center, third-party websites or applications, or through any travel agents/third parties/advertisements/referrals, etc., (collectively “Booking Channels”).

These Terms, which outline the legally binding terms and conditions for visitors, guests, customers, or users, provide detailed terms and conditions for accessing and using the Booking Channels, booking the Properties, and availing the Services and other offerings provided by Villazio.

Your use of the Booking Channels and the Services is subject to these Terms, as well as all applicable laws, government notifications, rules, regulations, and guidelines issued by regulatory, governmental, and/or statutory bodies. By accessing the Booking Channels and/or using the Services, you consent to the Company communicating with you, periodically, about its Services and offerings unless you opt-out from receiving such communications by following the provided instructions.

By utilizing the Site, Application, Booking Channels, you agree to comply with and be legally bound by these Terms, regardless of whether you become a registered user of the Services. These Terms govern your access to and use of the Site, Application, Booking Channels, and all Content (defined below), establishing a binding legal agreement between you and Villazio. Please carefully read these Terms and our Privacy Policy, incorporated by reference into these Terms. If you do not agree to these Terms, you are not entitled to obtain information from or continue using the Site, Application, Booking Channels. Failure to adhere to these Terms may subject you to civil and criminal penalties.

These Terms are subject to change, and Villazio may revise them at any time without prior notice to you or any guest. The updated Terms, along with any other information contained on the Site and/or Booking Channels, shall be effective immediately upon posting.

Villazio reserves the right to make improvements or changes to the services provided on the Site/Booking Channels at any time without notice. Therefore, it is advised to regularly check for any amendments or updates to these Terms and Conditions. If the changes are unacceptable to you, you must discontinue using the Site, Application, and Booking Channels. Your continued use of these platforms implies acceptance of the revised terms.

Unless otherwise specified, these Terms and Conditions supersede all prior representations, understandings, or agreements and shall prevail despite any variance with any other terms of any order placed or service provided by Villazio.

This Agreement is deemed to be concluded and executed between you and the Company in Mumbai, India.

Key Terms:

(a) Property/Properties: Refers to villas, bungalows, farmhouses, homestays, service apartments, and/or their individual rooms managed, operated, and offered by the Company, available for booking on any of the Booking Channels.

(b) Guest/Guests: Denotes individuals/companies or other entities wishing to make a booking or making a booking in respect of any of the Properties through any Booking Channels.

(c) Booking: Refers to a reservation in a Property/Properties made by any Guest for the purpose of stay.

(d) Booking Amount: The total amount payable by the Guest to Villazio for confirmation of the Booking through the registered mode of payment, as notified by Villazio to the Guest. This excludes the Security Deposit as defined below and may not include any additional charges for services, such as platform fees, etc. Taxes, GST, etc., are not included.

(e) Booking Confirmation: The communication shared by Villazio with the Guests upon receipt of the Booking Amount, containing all the details of the Booking, including but not limited to the primary Guest’s name, number of guests, number of rooms booked, check-in and check-out dates, House Rules, name of the Property booked, Booking Amount, GST, or applicable taxes paid. Villazio shall not be liable to host a Booking unless the entire Booking Amount is paid by the Guest/Guests to Villazio through the registered mode of payment intimated by Villazio to the Guest. Villazio may require the Guest to produce this Booking confirmation along with additional proof of payment if deemed necessary at any time during the Stay.

(f) Content: Encompasses all information (such as data files, written text, computer software, music, audio files or other sounds, photographs, videos, or other images), including any content licensed from a third party, which users may access as part of, or through use of, the Site, Application, and Booking Channels.

(g) Security Deposit: The amount required to be deposited by Guests with Villazio after Booking Confirmation but before or at the time of check-in. The Security Deposit is specific to each Booking and each Property, varying from Property to Property. Villazio shall utilize the Security Deposit for any damages caused by the Guests/their pets to the Property and/or items/furniture therein and/or for recovery of any other charges levied by Villazio on Guests. The Security Deposit is distinct from the Booking Amount and cannot be combined with the same.

(h) Tax: Encompasses any sales taxes, service taxes, additional cess or surcharge, value-added taxes (VAT), goods and services taxes (GST), and other similar municipal, state, and federal indirect or other withholding and personal or corporate income taxes.

Eligibility

Our Booking Channels are exclusively intended for individuals who are capable of entering into legally binding contracts under the Indian Contract Act, 1872. Any use of the Booking Sites, Application, or Services by individuals unable to enter into such contracts is expressly prohibited. By accessing or utilizing the Site, Application, or Services, you confirm that you are legally capable of entering into contracts under the Indian Contract Act, 1872.

You agree not to: (i) post, transmit, redistribute, upload, or promote any content that could harm or negatively impact our business, products, or services; (ii) engage in activities that hinder other users from using or enjoying the Platform, or compromise its security; or (iii) use any means to navigate or search the Platform or copy content from it. Violation of these terms or any other provisions outlined herein may result in immediate account termination.

Your Account and Information

To make a Booking, you must create an account (“Account”) and provide necessary information to Villazio, such as login credentials, email address, and contact information. You are responsible for maintaining accurate Account Information and safeguarding your login credentials. You agree to notify Villazio immediately of any unauthorized account activity. By providing your email address, you consent to receive required notices electronically.

Accuracy of Content

We have taken precautions to ensure the accuracy of content on our Site, Application, and Booking Channels. However, we are not liable for any typographical or technical errors.

Booking Confirmation

Payment of the Booking Amount and Security Deposit constitutes acceptance of all Booking details and terms. Bookings will only be confirmed upon receipt of the full payment as specified by Villazio. Guests must confirm bookings made through third-party platforms directly with us.

Booking on Hold

At our discretion, we may accept requests to hold a booking with a non-refundable advance payment. Failure to pay the balance within the specified period may result in cancellation of the hold and forfeiture of the advance payment.

Description of Services & Amenities

We are responsible for ensuring a comfortable stay and delivering promised services. Guests will receive only the amenities mentioned in the property description. Additional services may be arranged upon request but may incur extra charges and are subject to availability. We are not liable for services provided by third-party vendors.

Pricing

Tariffs mentioned on our platforms are non-negotiable and subject to change without notice. Rates may or may not include taxes, as specified. We reserve the right to correct inaccuracies due to technical glitches.

Right of Admission and Possession of Property

Guests do not possess any claim to the property booked. Check-in is subject to compliance with all requirements and terms. Guests must provide valid identification and register all guests. Providing false information may result in cancellation without refund.

Check-in, Check-out, and Stay

Guests must adhere to specified check-in and check-out times. Deviation may result in additional charges. Guests agree to abide by house rules, failure to comply may lead to termination of the booking without refund.

Use of Property

All bookings are assumed to be made for short-stay/holiday recreational purposes only, and the Guest agrees that the use of the Property will be limited to this purpose unless otherwise confirmed in writing. If the Guest plans to host an event such as a wedding, party, photoshoot, or video shoot involving a large number of people at the Property, or intends to use the Property for a purpose other than short-stay or holiday, they must inform Villazio before making the Booking. Depending on the nature of the event, additional charges, surcharges, and/or an additional security deposit may be required, which will be agreed upon and confirmed in writing prior to confirming the Booking. Note that some properties are located in residential areas or estates and may be subject to rules and regulations regarding their use. Guests are responsible for obtaining any necessary local, police, or municipal permissions for events or activities, and Villazio is not liable for securing these permissions. If authorities refuse to issue a permit for an event at the Property, Villazio will not refund any event fee paid by the Guest. Failure to inform Villazio before the Booking may result in actions taken against the Guests, including cancellation of the Booking and asking the Guest to vacate the Premises immediately, without any refunds.

The Guest shall not engage in any unlawful activity on the Properties.

Pet Stays

Pets may or may not be allowed on the Properties at the discretion of Villazio. Such information will be detailed in the Booking Confirmation issued to Guests. All pet stays are subject to payment of additional charges and an additional Security Deposit as stipulated for each Property. Guests are required to review and familiarize themselves with the terms and conditions pertaining to pet stays outlined in the Pet Contract. Failure to comply with these terms and conditions may result in Villazio charging additional fees for damages, forfeiting the Security Deposit, or requiring the Guests and their pets to vacate the Property without any refunds or compensation.

Links to Other Websites

Villazio may utilize third-party services provided by Service Providers to assist in delivering the Services. Some or all of the Guests’ information may be stored on servers provided by Service Providers. Certain features and functionalities of the Services may be facilitated through third-party services or the use of third-party APIs and other licensed third-party software or technology. Villazio may engage other Service Providers for various services such as networking, storage, financial transactions, customer relationship management, website maintenance, database management, web analytics, cloud computing infrastructure, transactional communications, marketing communications, and customer services.

The website may include links to other third-party websites and web pages not owned or controlled by Villazio. Villazio does not endorse or represent such websites/pages and bears no liability for their contents or any claims arising from the use of these websites, as Villazio has no control over them.

Promotional Offers

By sharing their contact details on the website, Guests agree to receive promotional content from Villazio via WhatsApp, email, push notifications, and SMS. Villazio may offer various discounts and promotions from time to time, subject to specific terms and conditions listed on the website. Villazio reserves the right to modify or withdraw any promotional offer at any time without prior notice.

Specific Terms Regarding Villazio Travel Credits

Villazio Travel Credits can be redeemed for confirmed bookings via the Site, Application, and Services. After accruing Villazio Travel Credits, they will be automatically applied to the next confirmed booking made via the Site, Application, and Services. Redemption of Villazio Travel Credits is subject to availability and may change at any time. Villazio Travel Credits expire one year from the date of last accrual and may be forfeited if the Guest’s account is terminated, suspended, or if Villazio discontinues providing the Services.

Loyalty Programme

Villazio operates a loyalty program to recognize and reward repeat guests. All benefits, amenities, offers, awards, and services associated with the loyalty program are subject to availability and may be amended by Villazio at any time without prior notice. Details and terms of the loyalty program will be published on the website periodically.

Specific and General Breach

Breach of any Terms herein will result in immediate termination of the Booking, eviction of Guests from the Property, and forfeiture of any amounts paid without recourse to any refund.

Conduct and Due Care

Guests are required to respect quiet residential neighborhoods and ensure appropriate behavior of all guests and visitors. Illegal or immoral activities are strictly prohibited. Guests are responsible for the behavior of their guests and visitors during the booking period. Villazio reserves the right to require Guests, their party, and/or visitors to leave the premises immediately if they do not behave appropriately, without compensation or refund.

Safety precautions should be taken at all times, especially with children, around pools, beaches, roads, and all Property facilities. Smoking is prohibited, and loud music is not permitted beyond permitted hours. Guests are responsible for their belongings and must ensure the security of the property during their stay. Any act or omission by the Guest, their party, and/or visitors resulting in loss or damage shall be the Guest’s sole responsibility.

Confidentiality and Personal Data/Information

Information collected by Villazio will be kept confidential in accordance with the provisions of the Privacy Policy. Applicable laws, rules, guidelines, and regulations regarding the processing of personal data will also be adhered to. Any information provided by Guests through Offline Booking Channels will also be kept confidential as per these Terms.

Villazio Fees

In addition to the fees and charges for the Booking, Villazio reserves the right to charge other fees for services, facilities, or conveniences provided, including but not limited to platform fees, convenience charges, and transaction charges, as applicable at the time of Booking.

Cancellations, Reschedulings, and Refunds

Guests wishing to cancel or reschedule their Bookings agree and accept that such requests are subject to the Cancellation Policy and Reschedulement Policy applicable to their Booking. Villazio reserves the right to modify these policies from time to time and requests Guests to review and understand them before each Booking.

Cancellation by Villazio

In the event that Villazio needs to cancel or reschedule a Booking, reasonable efforts will be made to provide an alternative that is similar to the original Booking. If no alternative is possible or acceptable to the Guest, Villazio will refund the Booking Amount and Security Deposit, if any, paid by the Guest within a reasonable time period, not exceeding [∙] days from the cancellation. Guests have no claim against Villazio beyond the Booking Amount and Security Deposit, if any, paid, and cannot claim damages or compensation from Villazio.

Security Deposits by Guests and Property Damage

Guests are responsible for checking and reporting any damage to the Property or its amenities within 90 minutes of check-in. Guests agree to use the Property and its items/furniture with utmost care and to leave the Property in good order and reasonably clean condition upon check-out. Guests understand that in case of damage to a set of items, the entire set may need to be replaced at the Guest’s expense. Guests shall not move or relocate any items from their original location without prior consent from Villazio. Refunds of Security Deposits, after deductions for damages if any, shall be made within 30 days from the check-out date. Any excess costs for repairs/replacements beyond the Security Deposit shall be communicated to Guests, who shall be liable to pay the amount within 7 days of demand from Villazio.

Payment Options

Guests understand that all payments shall be made only to bank accounts held by Villazio. Villazio or its representatives will never request Guests to transfer money to any private account or an account not held by Villazio. Guests agree that Villazio shall not be liable for any payments made to unauthorized accounts and waive any right to recover such amounts from Villazio. Guests should not share sensitive financial information with anyone, including Villazio’s agents, employees, or representatives. Guests must immediately inform Villazio if such information is demanded by any of its agents, employees, or representatives. Refunds for cancelled bookings will be processed to the original payment instrument used for the booking.

Financial Details

Guests confirm that the credit/debit card details or other financial details provided are correct and accurate, and that they will not use any unlawfully obtained financial facilities. Villazio will not be liable for any credit/debit card fraud, and the onus to prove otherwise will be on the Guest.

Intellectual Property Rights:

All software necessary for our services or utilized by our Online Booking Channels, as well as all intellectual property associated with the content, information, and materials on our Booking Channels, are exclusively owned by Villazio, unless stated otherwise. This includes but is not limited to developments, proprietary information, trademarks, logos, slogans, service marks, domain names, know-how, designs, and any other works protected by copyright. You are not permitted to copy, scrape, link to, publish, promote, market, integrate, utilize, combine, or otherwise use our content or brand without explicit authorization. Any unauthorized use constitutes a material infringement of our Intellectual Property Rights.

Access and Interference:

Villazio grants you limited, non-exclusive, and non-transferable permission to access and view the web pages within the Site and Application for personal use. Failure to comply with the terms, conditions, and notices on this website or Application will result in automatic termination of granted rights without prior notice. Except for the limited permission granted, no express or implied rights or licenses are granted under any patents, trademarks, copyrights, or other proprietary or intellectual property rights. You may not copy any content from this website onto another website or any other media without prior written consent. You agree not to interfere with the proper functioning of this website or Application or any transactions conducted through them.

Confidentiality:

While the Company takes reasonable precautions to preserve confidentiality and prevent data loss or corruption, it reserves the right to collect statistical, anonymous, and aggregate data for analytical purposes. However, such data does not include private, sensitive, or financial information. The Company disclaims liability for any internet frauds, hacking, or actions affecting payment instructions. Although industry-standard practices are followed to protect personal information, absolute security cannot be guaranteed, and the Company disclaims liability in this regard.

Limitation of Liability:

Guests understand and agree that Villazio bears no liability in various situations, including accidents, illegal activities, criminal acts, or structural damages at the Property. The Company expressly disclaims liability for any direct, indirect, incidental, consequential, or special damages arising from your access or use of the Properties. In no event will the Company’s total liability exceed the amount paid by the Guest for the Booking.

Guest Issues:

Guests must understand that Properties may be in remote locations where certain amenities may be challenging to maintain. Guests agree to report any issues within 8 hours of check-in and understand that Villazio will make reasonable efforts to resolve them. However, Villazio is not liable to refund or compensate guests if issues persist.

Force Majeure:

Villazio is not liable for any loss or damage arising from a Force Majeure Event, including events beyond its control such as strikes, natural disasters, or government regulations.

Termination:

Villazio reserves the right to terminate your registration or use of the website without prior notice for any breach of terms or conditions.

Dispute Resolution and Applicable Law:

Disputes shall be referred to arbitration, and the laws of India shall govern any legal matters. The competent courts in Mumbai shall have jurisdiction over disputes.

Assignment:

Bookings are non-transferable and non-assignable.

Notices:

Notices from Villazio may be sent via email or posted on the Site or Application.

Indemnification:

Guests indemnify Villazio against any loss or damage resulting from breach of terms, misuse of services, or violation of representations and warranties.

Feedback:

Guests are encouraged to provide feedback, which may be used for any purpose without compensation.

Waiver:

The failure of Villazio to enforce any provision of the Terms does not constitute a waiver.

Grievance Redressal:

Submissions:

Any submissions become the property of Villazio, and guests agree not to transmit submissions that infringe upon third-party rights.

Modification:

Cancellation Policy:

Villazio provides hosts with the option to choose their preferred cancellation policy, though it recommends starting with the Flexible policy. The cancellation policy determines the refund amount and conditions for cancellations.

Flexible Cancellation Policy:

  • Guests are entitled to a full refund if they cancel their booking at least 15 days before the check-in date.
  • A 50% refund is provided for cancellations made between 15 and 7 days before the check-in date.
  • Cancellations made less than 15 days before check-in do not qualify for a refund.
  • A nominal processing fee, typically 2-4% equivalent to payment gateway fees, is charged for refunds. Refunds in travel credits incur no processing fee.
  • Refunds are issued in the form of travel credits if any amount of travel credits is used for booking.
  • Non-cancellable coupons override cancellation policies, rendering the guest ineligible for refunds but allowing rescheduling.

Peak Dates Exception:

  • Cancellation is not permitted for peak dates including Independence Day, Diwali, Christmas and New Year, and Republic Day.

Extreme Circumstances:

  • In cases of extreme last-minute cancellations due to extenuating circumstances, guests may receive an 85% refund if Villazio secures another booking for the same dates. Otherwise, no refund is provided.

Partial Payment:

  • Guests making partial payments are not entitled to any refunds.

Refund Processing:

  • Villazio processes refunds within 5-7 working days, with a nominal cancellation fee of 5% to cover payment gateway charges and minimal processing fees.
  • GST at applicable rates is charged on the cancellation fee.

Reservation Cancellation:

  • A reservation is officially cancelled when the guest clicks the cancellation button on the confirmation page or confirms the cancellation with a reservations agent.

Early Departure:

  • If a guest checks in but decides to leave early, any refund is determined at Villazio’s discretion.

Refund for Extra Charges:

  • Extra bedding charges can be refunded if notified at least 2 days before check-in, subject to a 5% processing fee. No refunds are given if notified within 2 days prior to check-in or after check-in.

Cancellation by Villazio:

  • Villazio may cancel a booking, offering alternatives, travel credits, or a full refund within 5-7 working days.

Reschedule Policy:

  • Bookings can be rescheduled only at the same home, with charges applicable based on the timing of the rescheduling.

Relocation Policy:

  • Relocation to another home is not permitted once a booking is confirmed.

Early Check-in and Late Check-out Policy:

  • Early check-in and late check-out are subject to availability and additional charges apply.

Refund Processing:

  • Villazio processes refunds within 5-7 working days, with a nominal cancellation fee of 5% to cover payment gateway charges and minimal processing fees.

Trust Meter, Ratings, and Reviews:

Guests can read reviews and ratings from previous stays to gauge the reliability of hosts.

Both guests and hosts can rate each other, contributing to a user’s “Trust Meter” score.

Listings are also rated based on location, accuracy, safety, and cleanliness.

Cancellation Policy and Refunds:

Our reliable refund policy protects the interests of both hosts and guests.

Guests are informed of cancellation policies before booking.

Reschedule Policy:


Villazio permits rescheduling of bookings up to 2 days before the scheduled check-in date. There are specific conditions regarding rescheduling charges based on the timing of the rescheduling:

No rescheduling charge is levied if the booking is rescheduled within 15 days before the check-in date.

If the booking is rescheduled between 15 to 5 days before the check-in date, a rescheduling charge of 20%, plus applicable taxes, is imposed.

Rescheduling between 15  to 2 days before the check-in date incurs a rescheduling charge of 25%, plus taxes. In this case, the rescheduled booking becomes non-refundable, and no further charges are allowed.

If a non-cancellable coupon is used for the booking, guests have the option to reschedule it for any upcoming weekday within the next 90 days. However, this incurs a rescheduling fee of 25%. It’s important to note that rescheduling to weekends is not allowed, and the rescheduling must be within the same property.

In case the tariff for the new dates is higher than that of the original booking, the guest must pay the difference to Villazio to confirm the new date.
